A LEGAL DISCLAIMER
These terms of service (“Terms”), along with Reson18’s privacy policy (“Privacy Policy”), form a binding contract between you and Reson18 Holdings B.V. (“Reson18”), whose principal place of business is Sint Jorisstraat 11, 's-Hertogenbosch, North Brabant, 5211HA, The Netherlands. By using the Reson18 Android application and/or Reson18's services you (“User”) hereby agree to be bound by these Terms. Otherwise, please discontinue the use of the Android application and/or Reson18 service(s).
Reson18 grants User the right to use the Reson18 Android application and services (“Services”) for personal use only.
Reson18 reserves the right to discontinue the advertising for rewards offering at any time without prior notice.
If any User does not generate enough Advertising activity to make the user financially viable, Reson18 has the right to revoke the user receiving the next reward. In such a case the user will be informed using the instant messaging platform.
Reson18 reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. User agrees that Reson18 shall not be liable to User or to any third party for any modification, suspension, or discontinuance of the Services.
In order to use the Services, User must be of legal age and first agree to the Terms. User may not use the Services if User does not accept the Terms. User can accept the Terms by either clicking to accept or agree to the Terms, where this option is made available to User by Reson18; or by actually using the Services. In the latter case, User understands and agrees that Reson18 will treat User’s use of the Services as acceptance of the Terms from that point onwards.
RESON18 ACCOUNT
1.1. User is entirely responsible for any and all activities that occur under User’s account. 1.2. User agrees to notify Reson18 immediately of any unauthorized use of User’s account.USER CONDUCT
2.1. As a condition of User’s use of the Services, User warrants to Reson18 that the Services will not be used for any purpose that is unlawful or otherwise prohibited by these Terms.
2.2. User agrees to use the Services only to receive rewards in exchange for adverts and not to exploit the offerings. Any unauthorized commercial use of the Services, or their resale, is expressly prohibited.
2.3. User agrees to abide by all applicable local, national, and international laws and regulations and is solely responsible for all acts or omissions that occur.
2.4. Certain features of the Services may allow User to comment or send content that can be viewed by others ("User Generated Content"). User agrees that Reson18 is not liable for User Generated Content. Reson18 has no duty to pre-screen User Generated Content, but Reson18 has the right to refuse to post, edit, or deliver User Generated Content. Reson18 reserves the right to remove User Generated Content for any reason, but Reson18 is not responsible for any failure or delay in removing such material.
2.5. Reson18hasazero-tolerancepolicyagainstcommunication,transmission,storageorhosting is prohibited by governing law including content, which is abusive, defamatory, obscene, pornographic, offensive or furthers an illegal act or purpose (“Offending Material”) and will report the access of any User who publishes or distributes Offending Material. Furthermore, Reson18 will report such User to the appropriate authorities.
2.6. By submitting any ideas, concepts, know-how, or techniques submitted to any Reson18 developer forum or service, you consent to Reson18's unrestricted use of those items.
3. LINKS TO THIRD PARTY SITES
3.1. The Services contain (or User may be sent through Reson18’s Android application or the Service, or data reward gifted) links to other websites ("Third-Party Sites"), as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (the "Third-Party Applications, Software, or Content"). The Services, Third-Party Sites, Third- Party Applications, Software, and Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by Reson18. Furthermore, Reson18 is not responsible for User’s use of the Services, or any Third-Party Sites accessed through Reson18’s application or data reward gifted or any Third-Party Applications, Software, or Content posted on, available through, or installed from Reson18’s Android application, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Sites or the Third-Party Applications, Software, or Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Site
or any Third-Party Applications, Software, or Content does not imply approval or endorsement thereof by Reson18.
3.2. If User decides to access the Third-Party Sites or to use or install any Third Party Applications, Software, or Content, User does so at User’s own risk, and User should be aware that our terms and policies no longer govern. User should review the applicable terms and policies, including privacy and data gathering practices, of any site to which User navigates to or any applications User uses or installs from the site.
4. DISCLAIMERS \ LIMITATION OF LIABILITY
4.1. The information and services included in or available through the Services may include inaccuracies or typographical errors. Changes are periodically added to the information herein. Reson18 and/or its respective suppliers may make improvements and/or changes to the Services at any time.
4.2. Reson18 does not represent or warrant that the Services will be uninterrupted or error free, that defects will be corrected, or that the Services or the server that makes them available are free of viruses or other harmful components. Reson18 does not warrant or represent that the use or the results of the use of the Services or the materials made available, as part of the Services will be correct, accurate, timely, or otherwise reliable.
4.3. User specifically agrees that Reson18 shall not be responsible for unauthorized access to or alteration of User’s transmissions or data, any material or data sent or received or not sent or received, or any transactions entered into through the Services. User specifically agrees that Reson18 is not responsible or liable for any threatening, defamatory, obscene, offensive, or illegal content or conduct of any other party or any infringement of another's rights, including intellectual property rights. User specifically agrees that Reson18 is not responsible for any content sent using and/or included in the Services by any third party.
4.4. Reson18 reserves the right to assign its rights and responsibilities under this agreement to any third party.
4.5. RESON18 AND/OR ITS RESPECTIVE SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE SERVICES FOR ANY PURPOSE. THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. RESON18 AND/OR ITS RESPECTIVE SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SERVICES, INCLUDING ALL IMPLIED WARRANTIES AND
CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON- INFRINGEMENT.
4.6. IN NO EVENT SHALL RESON18 AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICES OR RELATED WEBSITES, WITH THE DELAY OR INABILITY TO USE THE SERVICES OR RELATED WEBSITES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS OBTAINED THROUGH THE SERVICES, OR OTHERWISE ARISING OUT OF THE USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF RESON18 OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO USER. IF USER IS DISSATISFIED WITH ANY PORTION OF THE SERVICES, OR WITH ANY OF THESE TERMS, USER’S SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICES AND RELATED WEBSITES.
5. INDEMNIFICATION
User agrees to indemnify and hold Reson18, its parents, subsidiaries, affiliates, officers, and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of User’s use of or conduct on the Services.
6. TERMINATION
6.1. Reson18 may terminate User’s access to any part or all of the Services and any related service(s) at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever, with or without providing any refund of any payments. Reson18 may also terminate or suspend User’s account for inactivity, which is defined as failing to sign-in to the Services for an extended period of time, as determined by Reson18. The amount of time that Reson18 currently considers as an "extended" period of time may be viewed from the Help link. Upon termination of the Services, User’s right to use the Services immediately ceases.
6.2. Reson18 shall have no obligation to maintain any content in User’s account or to forward any unread or unsent messages to User or any third party.
7. PROPRIETARY RIGHTS TO CONTENT
User acknowledges that content, including but not limited to text, software, music, sound, photographs, video, graphics, or other material contained in either sponsor advertisements or electronically distributed, commercially produced information presented to you by the Services, by Reson18, or Reson18's advertisers or other content providers, is protected by copyright, trademark, patent and/or other proprietary rights and laws. User agrees not to violate these laws or infringe these rights in any way.
8. MODIFICATIONS OF TERMS OF SERVICE, MEMBER POLICIES
These Terms, as well as Reson18’s Privacy Policy, may be modified by Reson18 without notice at any time in the future and will be available at http://www.Reson18.com. It is the responsibility of User to remain informed of any changes at all times, as User is bound by the latest version of the Terms and Privacy Policy.
9. GENERAL
This agreement will be governed by the laws of the Kingdom of the Netherlands without giving effect to any conflicts of law principles that may require the application of the laws of a different country. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this agreement. All actions or proceedings arising under or related to this agreement must be brought in the Kingdom of the Netherlands Courts, and each party hereby agrees to irrevocably submit to the jurisdiction and venue of any such court in all such actions or proceedings. If any provision of this agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of this agreement shall not be affected or impaired thereby. User may not assign or transfer this agreement without obtaining Reson18’s prior written consent, and any purported assignment or transfer in violation of this Section 9 will be null and void.
RESON18 PRIVACY POLICY
Reson18 Holdings B.V. ("Reson18") by policy processes personal data to better our products and services, with full respect for the fundamental right to privacy. We protect personal data with regards to personal integrity and private life and ensure the quality of personal data.
The following describes data collected by Reson18 for the Android platform, why it is collected and processed, and the services the client application ("app") provides using this data.
Data collected by Reson18 regarding advertising for rewards service.
Reson18 is a web service that sends adverts generated on Reson18's servers and sends it to the Reson18 app installed on a device. Reson18 does not link individual natural persons ("users") to specific usage-related data logged on the Reson18 and/or its partners servers (“servers”). Servers log the uniform resource locators (URLs), or web addresses, of the web pages users visit, but not the content on the page. The servers also log users' IP-addresses, their device make and model, campaign references for sponsored content and a randomly generated identifier for the users' app installation.
Reson18, through its app, will from time to time request user personal information through app driven questionnaires. The Reson18 and its data storage partners maintain a collaboration environment that ensures 1st party user data is always anonymized, protected and never in control of 3rd parties. Reson18 will never request information from a User that can be used to personally identify a user. All data collected will be in strict compliance with local in-country data laws.
Reson18 and/or its partners stores and processes usage-related data to provide, debug, maintain and optimize the Reson18 service including populating recommended content for the app's Discover feature. Reson18 also uses this data to generate aggregated and anonymized statistics for general internet trend analysis and reporting to Reson18's customers, such as mobile network operators.
On the Android platform, Reson18 uses Google Analytics to measure marketing campaigns. Google Analytics anonymizes this data and Reson18 collects it to improve its products and services.
Reson18 collects anonymized device information on Android (Android ID or Advertising ID) to improve its products and measure marketing campaigns. Reson18 may share this data with Reson18's marketing partners/customers.
Some third-party sites may monitor data sent from Reson18, such as numbers of hits and the search terms used. Reson18 does not send personally identifiable information to these services.
All data collected by Reson18 may be processed and/or stored outside the county from where the data is collected.
Data sent by Reson18's mobile partners.
In the case Reson18 has a contractual relationship with your mobile operator, the mobile operator might send additional data such as your phone number together with the web traffic. Reson18 will pass on such additional data to your mobile operator's approved list of partners. Please note that Reson18 does not receive, log or retain such additional data in any way or manner.
Data disclosure
Reson18 reserves the right to disclose any stored data as required by law or if the company believes that disclosure is necessary to protect its rights and/or comply with a judicial proceeding, court orders, or legal processes.
Policy updates
Any updates or changes to these privacy provisions will be included in Reson18’s Privacy Policy available at http://www.Reson18.com.
Explanation of the permissions Reson18 requests
When installing Reson18, you will be asked to provide the app with certain permissions to access data on your Android device. The following describes the permissions Reson18 requests, what each permission allows the app to do, and why the app collects this data.
• Measure app storage space
This permission allows Reson18 to measure the size of the cache files on the device. If the size of the
cache is large, Reson18 can offer to clear the cache in order to speed up device performance.
• Delete all app cache data
This permission allows Reson18 to remove cache files in order to speed up device performance.
Reson18 prompts you before it cleans the cache.
• Precise location (GPS and network-based)
This permission allows Reson18 to access your device’s location based on global-positioning satellites, what network your device uses to access the web, and the strength of your connection to nearby networks. Reson18 uses your location to display ads in the Discover news feed. Providing your location ensures that this content is relevant to you.
• Modify or delete the contents of your USB storage.
This permission allows Reson18 to access your local file storage on your device. Reson18 needs this permission to allow you to download files from the web and manage them through the app’s interface.
Test access to protected storage
This permission allows Reson18 to read the contents of external storage discs on your device, including secure digital (SD) cards or hard drives connected to your Android device via Universal Serial Bus (USB). Reson18 needs this permission to allow you to open, download to and manage files found on external discs through the app.
Control Near Field Communication
This permission allows Reson18 to share information between devices using radio frequencies, when the devices are placed near each other. Reson18 uses this permission to share pages of its active tab between devices. If you place another compatible device nearby, Android will ask if the page location of the active tab should be shared. Both devices must support Near Field Communication.
Full network access
This permission allows Reson18 to access network data through both Wi-Fi and mobile network connections (for example, GPRS, 3G, or EDGE connections). Reson18 uses this permission to send and receive requests from Reson18 servers, which fetch and deliver web content to your device.
View network connections
This permission allows Reson18 to determine whether your device is connected to Wi-Fi or a mobile network connection (for example, GPRS, 3G, or EDGE connections). Reson18 uses this information to prompt you when downloading large files on mobile network connections. The app asks whether you want to postpone a large download for a later time when your device is connected via Wi-Fi.
Prevent device from sleeping
This permission allows Reson18 to prevent your device’s processor from sleeping. Reson18 uses this permission to support syncing services. It keeps the app awake while checking messages from Reson18’s servers that inform the app if changes have been made to your Reson18 account. The next time you open Reson18, the app syncs with the server and updates to reflect any changes made on other devices.
View applications in foreground
This permission allows Reson18 to view which applications appear most in the foreground of the Smartphone. Reson18 can thus offer advertising that complements the applications the User is interested in.
WHAT TO INCLUDE IN THE T&C DOCUMENT
Generally speaking, T&C often address these types of issues: Who is allowed to use the website; the possible payment methods; a declaration that the website owner may change his or her offering in the future; the types of warranties the website owner gives his or her customers; a reference to issues of intellectual property or copyrights, where relevant; the website owner’s right to suspend or cancel a member’s account; and much much more.
